Singapore Market Entry and Domiciliation

A coordinated approach to incorporation, governance, tax residency and operating substance for companies establishing or relocating a business in Singapore.

Establish more than a registered company

A Singapore entity should be designed around its real commercial role: regional headquarters, operating company, holding company, investment platform or family-owned enterprise. The legal form, governance, people, contracts, banking and tax position should tell the same story.

Core workstreams

Entry strategyChoose between a subsidiary, branch, representative office or acquisition route.
Company establishmentCoordinate name, constitution, shareholders, resident director, company secretary and registered office.
Tax and substancePlan control and management, transfer pricing, GST, incentives and cross-border flows.
Operating readinessAddress licences, banking preparation, employment passes, payroll and ongoing compliance.

Structures we can help establish

Entity selection should follow ownership, liability, fundraising, governance, tax, regulation and the intended activity. We can advise on the appropriate route and coordinate implementation for:

Structure Typical use Planning considerations
Private company Operating businesses, subsidiaries, holding companies and owner-managed ventures. Shareholding, resident director, constitution, company secretary, beneficial ownership and tax position.
Public company Larger ownership bases, public fundraising pathways or companies limited by guarantee. Public-company governance, membership, fundraising, audit, disclosure and regulatory requirements.
Variable Capital Company Standalone or umbrella investment-fund structures with sub-funds. Eligible fund manager, directors, officers, constitution, service providers, regulation and tax.
Foreign company branch An overseas company operating directly in Singapore without incorporating a separate subsidiary. Authorised representative, registered office, parent-company documents, liability and tax treatment.
Business and partnership Sole proprietorships, general partnerships, limited partnerships and limited liability partnerships. Owner liability, partners, management, continuity, tax and registration requirements.
Offshore and cross-border structure International holding, investment, trading or asset-ownership arrangements with a genuine commercial purpose. Jurisdiction, beneficial ownership, tax residence, substance, reporting, banking and anti-avoidance rules.

Business licences and regulated activities

Some activities require a licence, permit, registration or approval before trading can begin. We can map the regulatory pathway, identify prerequisites, coordinate the application sequence and help organise supporting information. Examples can include food, employment, education, travel, healthcare, financial services, import and export, telecommunications and other regulated trades. The exact authority and requirements depend on the business model, people, premises and products.

Incorporation and licence implementation: Raffles Consulting Services provides the structuring and licensing consultation. Our affiliated company, Raffles Corporate Services Pte Ltd, carries out the incorporation, corporate filings and licence applications. Where legal documents, legal advice or formal opinions are required, we coordinate with Singapore law firms whose lawyers have the relevant corporate, commercial or regulatory speciality.

Domiciliation and re-domiciliation

Singapore permits inward re-domiciliation for qualifying foreign corporate entities. It is not simply a change of address: eligibility, continuity of legal identity, creditor considerations, home-jurisdiction requirements and Singapore compliance must be reviewed together.

Tax residency is factual

Incorporation does not automatically settle Singapore tax residence. IRAS generally looks at where the company’s control and management is exercised. Board composition, decision-making, records and the location of strategic oversight therefore matter.
