Foreign branch source-record reconciliation compares the parent company’s official records with every fact entered in the Singapore application. It is more than collecting documents. Names, registration details, governing law, directors, constitution, translations and authorised representatives must describe the same company at the same point in time.

Complete the reconciliation before the corporate service provider files. A discrepancy found after submission can cause delay, referral questions or a misleading Singapore record.

Freeze a dated parent-company record set

Obtain a current official incorporation or registration document, constitution and the source record for directors or equivalent officeholders. Record the issuing registry, issue date, document language and method used to verify authenticity.

The ACRA foreign-company branch guide, updated on 24 September 2026, sets out the information and documents used for registration. A foreign company must engage a registered corporate service provider to submit the application.

Do not silently combine extracts from different dates. If the registry cannot issue all details in one document, create an index showing which source supports each application field.

Match the legal name character by character

Compare the full legal name across the registry record, constitution, group approvals and proposed Singapore filing. Preserve punctuation, legal-form words and non-English characters where the filing permits them.

If the working name, brand or English translation differs from the registered name, label it separately. Do not alter the legal name to fit a letterhead or bank record.

Record any proposed Singapore name and the result of the name application. Name approval is not branch registration, and it does not cure an inconsistency in the parent-company evidence.

Reconcile registration facts and governing law

Check the jurisdiction, registration number, incorporation date, legal form, registered address and governing legislation. Some registries use several numbers; identify the one that legally identifies the company rather than copying a tax or business-unit number.

Compare the registry description with the constitution. If a conversion, merger, continuation or name change occurred, include the official continuity evidence and explain the sequence in a short note.

Do not infer a missing fact from a commercial database. Obtain confirmation from the issuing registry or qualified foreign adviser.

Test constitution completeness

Confirm that the constitution supplied is the current consolidated version or a complete base document with every amendment. Record the adoption and amendment dates.

Check whether the document shows the company’s powers, governance structure and officeholder terminology clearly enough for the filing. A memorandum, articles, charter or bylaws may serve different roles in different jurisdictions.

If the source set contains several constitutional documents, index them and have the foreign adviser confirm which versions are in force.

Control certification and translation

For each certified document, record the original document, certifier, capacity, certification date and any validity condition in the current ACRA instructions. Do not detach a certification page from the document it covers.

A translation should identify the source document and translator. Retain both language versions and the required certification. Machine translation may help internal review, but it should not be presented as a certified translation.

Check dates again immediately before filing. If ACRA or the foreign registry has a currency requirement, refresh the source rather than changing a date in the index.

Reconcile directors and authorised representatives

Map every director or equivalent officeholder from the official source to the proposed filing. Explain a local title that does not translate directly. Resolve changes that are approved but not yet reflected at the foreign registry.

Record the Singapore authorised representative’s identity, residential status, contact details, consent and effective date. The role carries statutory responsibility and should not be treated as a mail contact.

Keep personal identity records in the approved secure system. The working reconciliation can use a document reference and verification date without circulating unrestricted copies.

Approve one final filing version

Export or preview the completed application and compare it with the reconciliation. The parent-company approver, Singapore representative and corporate service provider should resolve every open item before submission.

Record who approved the final version and when. Preserve the submitted form, payment receipt and ACRA outcome. A draft, payment page or name approval is not evidence that the branch is registered.

Run a second-person check against the preview. The reviewer should work from the indexed source set, not from the preparer’s notes. Check every identifier, date, address and officeholder, then record exceptions rather than overwriting the first review.

If a foreign registry changes after the application is prepared, assess whether the filing must be refreshed before submission. Record the cut-off time used for the source set and the person responsible for monitoring a pending change.

After registration, compare the issued Business Profile with the submitted version. Assign any correction or follow-on notification to an owner and due date. Registration is the start of the Singapore branch record, not the end of record control.
