Registering a Singapore foreign company branch requires a CSP, resident representative, certified records, controller data and a local office.
To register a Singapore foreign company branch, the overseas company must first reserve its name and engage a registered corporate service provider to file through Bizfile. The registration pack must identify the foreign company and its Singapore branch, appoint a locally resident authorised representative, address controller and nominee registers, and include properly certified corporate documents.
The branch is part of the foreign company, not a separate Singapore subsidiary. That makes consistency with the home-country record especially important. Names, registration numbers, officer details and constitutional documents should be reconciled before the filing starts.
Confirm that a branch is the chosen form
ACRA’s foreign-business overview sets out the available routes for an overseas business. A branch remains legally connected to its head office and has foreign-company filing duties. A locally incorporated subsidiary is a separate company. A representative office has a narrower temporary role and is not a substitute for trading through a registered entity.
For this reason, Prepare a signed entry-form decision covering liability, tax, financial reporting, licensing, banking, hiring and exit. Do not select a branch only because it appears faster. The head office must be willing to provide certified records, accept continuing Singapore obligations and support a resident representative.
Once the branch route is approved, reserve the proposed name. Keep the approved-name transaction number and expiry date in the registration file. A referral to another authority can extend the timetable, so a commercial launch date should allow for more than an immediate approval scenario.
Build the entity data sheet
The updated ACRA branch registration guide requires the home country or region, foreign registration number, incorporation date, legal form, share-capital status and registered-office address. The Singapore branch needs a local registered office, business email and opening hours.
In practice, the Singapore address cannot be a post-office box. It must be open and accessible to the public for at least three hours during normal business hours on each business day. The registered office does not have to be the operating premises, but notices and records sent there must reach the responsible team.
Create one approved data sheet from the current home-country registry extract and governing documents. Use the legal name exactly, including punctuation and suffixes. If a translation uses a different transliteration, resolve it before preparing the Bizfile form.
Add the proposed Singapore activities and contact details. Check whether regulated activities, a controlled word in the name, or a sector licence require another authority’s review. Registration with ACRA is not a licence to conduct every activity described.
Appoint the authorised representative
At the same time, a foreign company branch must have at least one authorised representative who ordinarily resides in Singapore. The person can carry personal responsibility where the foreign company fails to meet legal requirements, so the role should not be accepted as a nominal mailing contact.
Collect the representative’s identification, residential address, optional contact address, contact details, appointment date and written consent. A contact address can reduce public exposure of a residential address if it meets ACRA’s conditions, but ACRA will still retain and use the residential address for official communication.
Give the representative access to a compliance calendar, head-office decision maker, branch accounts and filing records. Record authority for responding to notices and escalating overdue information. A role without information or internal authority creates avoidable personal and corporate risk.
Resolve nominee and controller information
As a result, the application asks whether the foreign company is exempt from maintaining its register of registrable controllers, register of nominee directors and register of nominee shareholders. If it is not exempt, prepare the relevant controller, nominator and executive-control information before filing.
Do not treat the three concepts as interchangeable. The ACRA register guidance provides separate materials for foreign companies. Map the ownership chain to individuals and legal entities, document control rights, and ask directors or shareholders whether they act on another person’s directions.
If no registrable controller can be identified after the required steps, the application may need details of individuals with executive control. Keep the notices, replies, analysis and approval that support the declaration made in Bizfile.
Prepare certified and translated documents
For example, the branch pack includes a certificate of incorporation or registration certified as a true copy by an official who holds the original and performs a role equivalent to ACRA in the home jurisdiction. ACRA’s guide also asks for the latest home-country financial statements where required.
The foreign company’s constitution must be certified by an accepted person. Depending on the route, this can include the foreign registry official, a notary public, a director, manager or secretary using the required affidavit or statutory declaration, or the registered qualified individual after verifying authenticity.
ACRA states that the certificate and constitution should be certified within four months before the application unless approval is obtained. Record the certification date, certifier’s capacity, source original and any seal or verification reference.
In addition, documents not in English need a certified English translation. The accepted certifier depends on whether the translation is made inside or outside Singapore. Keep the source document and translation together and mark which translated names are used in the form.

Most registrations cost S$300 for one year and may be approved soon after payment. Complex or referred applications can take longer. Review the final form against the source documents before the authorised filer confirms and pays.
After approval, save the acknowledgement, UEN and free business profile. Re-read the profile for the name, address, representative and activities. Then begin the branch’s post-registration calendar rather than treating approval as the end of compliance work.
