Verify that a proposed VCC fund manager fits one of ACRA’s permissible categories and keep appointment evidence current.
Every Singapore VCC must appoint one permissible fund manager. A service provider that advises funds, administers records or belongs to a financial group does not qualify merely because its name sounds regulated. ACRA lists three routes: a licensed fund management company, a registered fund management company or an exempted financial institution within the specified provisions. The VCC should verify the exact legal entity and status before incorporation, appointment and any later change.
Identify the exact manager entity
Record the proposed manager’s legal name, UEN, registered address, group ownership and contracting entity. Compare these details with the proposal and VCC constitution documents. Large groups may contain several similarly named companies with different permissions. The entity providing administration, investment advice or distribution may not be the entity appointed as fund manager.
Describe what the manager will actually do: portfolio decisions, risk management, valuation oversight, delegation, compliance and reporting. Separate the manager from the administrator, custodian, auditor, secretary and investment adviser. This role map helps the board see whether the appointment and service agreements match the intended operating model.
Test the permissible category
The ACRA director and key-officer page says a licensed fund management company must hold a capital-markets-services licence for fund management. A registered fund management company must be registered under the specified provision, while an exempted financial institution must fall within the listed statutory exemptions.
Record the selected category, public regulatory evidence, permissions and any relevant conditions. Do not infer status from membership, a parent’s licence or a marketing statement. If the scope or exemption is uncertain, obtain regulatory legal advice before appointment. Raffles Consulting Services coordinates with Singapore law firms with the relevant speciality for formal legal work.
Check the VCC operating fit
The ACRA VCC features and eligibility page explains that a VCC is mainly for investment funds and must appoint a director, secretary, fund manager and auditor. Confirm that the proposed structure is genuinely an investment fund and that the manager’s business model, investor type, strategy and jurisdictions fit its permissions.
Review delegation and outsourcing. A manager may use advisers or service providers, but the documents should show who retains regulated responsibility and decision authority. Map investment management, trade execution, risk, compliance, valuation and investor reporting. Gaps and overlaps should be resolved before the VCC accepts capital.
Align the director requirement
ACRA requires a VCC director to be either a qualified representative or a director of its fund manager, and this may be the same person as the ordinarily resident director. Identify which person satisfies the connection and keep evidence of current status. Check additional director requirements for authorised schemes.
Build a succession plan for resignation, disqualification or manager change. The VCC should not discover during a filing that its director-manager link has broken. Keep board and statutory records aligned with the actual appointments and notify changes through the required route within the applicable time.
Review the service agreement
The agreement should name the correct entity and describe authority, investment scope, delegation, fees, conflicts, information rights, termination and transition. Check that the VCC board receives enough information to discharge its duties. Avoid language that gives an affiliate an operational role not reflected in the regulatory or corporate records.
Plan how records, mandates, bank access, systems and investor communications transfer if the manager changes. Termination rights should allow an orderly handover while protecting fund assets and confidential information. Formal review is important because a commercial agreement cannot expand a manager’s regulatory permission.
Keep a current verification file
At appointment and at least annually, save the status evidence, licence or registration details, service agreement, board approval, conflicts review and director connection. Add a change trigger for regulatory notices, group restructuring, name changes or revised permissions. The board should receive exceptions promptly rather than waiting for the annual return.
Connect the review to the VCC cornerstone, the hosted or own-licence comparison and the fund-manager change sequence. Together they keep initial selection and later continuity distinct.
Run a pre-appointment verification meeting
Ask the proposed manager to present the exact entity, regulatory category, permissions, responsible officers, delegates and service model. The VCC directors should compare that information with current public records and the draft agreement. Record questions and conditions. A group presentation that mixes affiliates should be separated until each role and entity is clear.
Review the intended investors, assets, strategy and distribution with regulatory counsel where material. Confirm that the manager’s permissions and operating capability fit the mandate. Check conflicts where the manager or affiliate provides administration, brokerage, custody or valuation support. Set the board information and approval needed to oversee those relationships.
Approve the appointment only after the corporate and service documents match the verified facts. Keep a dated extract of the evidence and set monitoring triggers. If the manager later restructures, changes status or delegates a material function, the board should assess the effect before continuing. A current verification file is more useful than an incorporation checklist never revisited.
Include the manager check in launch and annual compliance calendars. The company secretary can help track corporate records, but the directors should review substantive regulatory fit and service performance. Record any remediation and deadline. If no permissible manager remains in place, obtain advice promptly and protect the fund’s operations rather than treating the issue as an administrative change that can wait for the next routine filing.
The VCC board should be able to point to the exact manager entity, qualifying category, permissions, agreement and director connection. Verify those facts before appointment and repeat the check whenever the manager’s status or the VCC operating model changes.
