Map the limited partnership, general partner, family office and continuing conditions before relying on section 13OA.
A Section 13OA family office can use the Singapore fund-tax incentive route for an approved limited partnership, with exempt specified income arising to its partners from funds managed in Singapore, subject to the applicable conditions. The structure needs a clear responsibility map. The limited partnership, general partner, single family office, investment professionals, administrator, bank and advisers each hold different records, while MAS conditions apply throughout the incentive period.
Confirm why a limited partnership fits
Document the investment strategy, investor or family ownership, governance, liability allocation, capital-call process and distribution mechanics that make a Singapore limited partnership suitable. Do not choose section 13OA merely because it appears beside sections 13O and 13U on a comparison table.
Compare the limited-partnership route with a company or VCC based on the actual fund, assets, parties and operating needs. Obtain legal and tax advice for the structure. The incentive does not replace entity, fund-management or immigration analysis.
Map every Section 13OA family office role
Record the limited partnership, general partner, partners, fund manager or exempt single family office, investment professionals, administrator, private bank, custodian and advisers. Include legal names, registration numbers, agreements, authority and reporting lines.
Distinguish who manages investments from who maintains the partnership and who approves payments. A family principal can hold several roles, but the records should still show the authority used for each decision.
Read the award and current MAS criteria
The MAS family-office tax page groups sections 13O, 13OA and 13U and publishes criteria for assets in designated investments, investment professionals, local spending, capital deployment and a private-banking account. The award letter and applicable circular determine the exact conditions for the fund.
Record commencement date, incentive period, measurement dates, grace periods and any fund-specific terms. Do not combine thresholds from competitor summaries or different award vintages.
Control assets in designated investments
Maintain an asset register with acquisition date, legal owner, custodian, classification, value source and designated-investment conclusion. Reconcile the general partner’s records, administrator reports and bank or custodian statements.
Set warning thresholds above the minimum so market movement, distributions or reclassification do not surprise management. Resolve uncertain assets before counting them. Assets under management and designated investments are related measures, but the fund should not interchange them without support.
Evidence investment professionals
Record each qualifying investment professional’s employer, role, duties, time allocation, salary, tax residence, start date and family status where the condition requires it. Preserve employment, payroll and work evidence in the approved confidential system.
Monitor vacancies, leave, role changes and departures. A title alone does not prove that the person spends more than half of the time on qualifying portfolio management, research or trading work. Link the file to the family-office investment-professional guide.
Track spending and capital deployment
Maintain separate ledgers for local business spending and the capital-deployment requirement. Classify each amount against the current criteria, retain invoices and proof of payment, and prevent the same transaction from appearing under an unsupported category.
For donations or recognised blended-finance instruments, document the recipient, distribution route and any multiplier used. For Singapore investments, preserve the listing, distributor or operating-company evidence. Review the position before year end, not only after the accounts close.
Govern the private-bank and administrator records
Confirm that the fund maintains the required private-banking account with a MAS-licensed institution, then reconcile ownership and activity. Record any permitted grace period from the controlling terms. Keep onboarding, mandate and authorised-signatory changes current.
Define the administrator’s deliverables, valuation sources, partner statements and year-end timetable. The general partner should review outputs rather than outsourcing responsibility. Exceptions and late data need a named owner and escalation date.
Run a continuing-conditions calendar
Create monthly, quarterly and annual checks for assets, investment professionals, spending, deployment, bank account, tax filings, partnership records and award reporting. Record evidence location, reviewer and status. Mark any unresolved condition red or open.
The family-office governance cornerstone provides the wider operating model, while the family-office hub connects tax, governance and continuity topics. Section 13OA monitoring should feed those governance reviews without turning private tax evidence into public material.
Prepare a general-partner review pack
Give the general partner a quarterly pack covering designated investments, valuation movements, capital activity, investment professionals, local spending, capital deployment, banking, administrator exceptions and upcoming filings. Each figure should link to source evidence and show the previous period. Highlight conditions approaching a threshold rather than waiting for an actual breach.
Include partnership decisions, conflicts, related-party transactions and changes in family or service-provider roles. The general partner should record questions, challenge and approvals in minutes. An administrator’s clean report does not remove the need for governing review, particularly where classification or valuation judgement affects an incentive condition.
At year end, reconcile the quarterly packs to audited or certified accounts, tax computations and MAS reporting. Explain every adjustment between management and final numbers. Retain the exact award and circular version used for the review. This file helps successors understand both the threshold result and the evidence that supported it.
Schedule the first review before the fund accepts major capital or hires the final team. Early review can expose a role, bank or administrator dependency while the structure is still adjustable. Later reviews should compare actual operations with the initial responsibility map and formally approve any changed owner.
A Section 13OA family office works only when the limited partnership and operating model align. Build the responsibility map at setup, read the exact award conditions and monitor assets, people, spending, deployment and bank evidence throughout the incentive period.
