Family office investment committee minutes should capture authority, conflicts, challenge, conditions and the final direct-investment decision.
Family office investment committee minutes for a direct investment should show who had authority, who attended, what conflicts were declared, which evidence was considered, how material risks were challenged and what was decided. The record should be concise enough to use and detailed enough to explain the decision later.
Minutes are not a transcript or a marketing summary. They connect the family’s governance documents to the term sheet, due diligence, approval conditions and eventual funding instruction.
Confirm what kind of meeting is being held
Identify whether the meeting is an internal investment committee, a directors’ meeting of a holding company, a trustee decision or a combination of roles. The legal duties and minute requirements may differ.
Section 188 of the Companies Act 1967 addresses minutes of company proceedings, including directors’ meetings. An internal family office committee is not automatically a statutory board meeting. If directors make a company decision during the session, the company should obtain advice on the required board process and record.
Label the document accurately. Do not call an advisory discussion a board resolution, and do not rely on committee notes where the investing entity requires director approval.
Link authority to the investing entity
State the exact company, trust, fund, partnership or individual account that will invest. Record the committee’s authority under the family constitution, investment policy, delegation schedule or board mandate.
The EDB single family office setup guide emphasises an operating model and investment strategy. The minute should show that the proposed direct investment fits the approved mandate, asset allocation, concentration limits and liquidity plan.
If the committee can only recommend, say who gives final approval. A clear recommendation followed by an authorised decision is stronger than ambiguous wording that leaves ownership of the decision uncertain.
Record attendance and conflicts
List members present, invitees, advisers, the chair, secretary and anyone absent. Confirm that quorum was met under the committee terms. Note whether a participant joined remotely or left for part of the discussion.
Ask for conflicts before the investment is discussed. A family member, director, employee or adviser may have an interest in the target, seller, co-investor, lender or fee recipient. Record the nature of the interest and the action taken.
Recusal should be real. The minute should show whether the person left the discussion, received papers, voted or supplied factual information. Link to the conflict register where sensitive detail is retained.
Identify the decision and evidence
Describe the proposed instrument, amount, currency, valuation, ownership route, funding schedule and material rights. State whether the decision concerns initial diligence, a non-binding term sheet, final documents, a follow-on investment or release of funds.
List the papers considered with version and date. These may include the investment memorandum, financial model, commercial report, legal and tax advice, background checks, valuation work, cap table, shareholder documents and risk summary.
A list alone is not enough where a key report contains a qualification. Bring material limitations into the discussion record and state how the committee treated them.
Capture challenge without writing a transcript
Summarise the significant questions and answers. Useful topics include customer concentration, cash runway, founder dependence, intellectual property, regulatory approvals, related-party transactions, valuation sensitivity, exit assumptions and follow-on funding.
Record competing views and the reason for the conclusion. If a member dissents or abstains, state that accurately. Do not rewrite a difficult discussion as unanimous support.
Keep personal commentary and irrelevant detail out of the minute. The aim is to preserve the reasoning that mattered to the decision, not every sentence spoken.
Use conditions that can be closed
A conditional approval should name each outstanding item, owner, reviewer and deadline. Examples include a satisfactory legal opinion, corrected cap table, founder vesting amendment, regulatory consent, insurance confirmation or final tax structure.
State who may confirm that a condition is satisfied. The deal team should not mark its own material condition complete unless the mandate permits it and an independent review is unnecessary.
If conditions remain open at signing or funding, record the authorised exception and protection. Silence is not evidence that the committee accepted the risk.
Use a practical minute structure
| Minute section | What to record | Linked record |
|---|---|---|
| Meeting status | Entity, authority, quorum and role | Mandate or terms |
| Interests | Declarations, recusals and abstentions | Conflict register |
| Proposal | Instrument, amount and ownership path | Investment memorandum |
| Evidence | Reports, versions and limitations | Due diligence index |
| Challenge | Material questions and conclusions | Risk summary |
| Decision | Approval, conditions, dissent and authority | Signed resolution |
Align committee minutes with board duties
Where a Singapore company is the investor, directors retain their legal duties. The ACRA guide to directors’ duties explains that directors must act in the company’s best interests, exercise reasonable diligence and disclose interests in transactions.
An investment committee record can support the board, but it does not remove those duties. Give directors the papers and time needed for their decision. Record any additional board questions and keep the executed resolution with the investment file.
Check the constitution and shareholder arrangements for reserved matters or signature requirements. A commercially attractive deal can still be unauthorised if the wrong body approved it.
Finalise and preserve the record
Circulate the draft promptly to the chair and authorised reviewers. Correct factual errors, but do not remove a conflict, dissent or material condition merely because it is uncomfortable. Record approval and signing in the form required for the meeting.
Under section 188, company minutes within its scope have statutory timing and signing requirements. Obtain company-secretarial advice for the investing entity rather than applying an internal committee convention to a board record.
Store the final minute with the approved papers, condition tracker, executed documents and funding evidence. Limit access to people with a legitimate role, especially where personal, commercial or family information is sensitive.
Connect the minute to ongoing ownership
The decision record should identify reporting, valuation, board representation, covenant and follow-on triggers after completion. Those actions belong in the portfolio monitoring process, not only in the closing checklist.
