In addition, define event-driven updates. Examples include a financing round, acquisition offer, missed forecast, covenant breach, key-person departure, major contract win or loss, regulatory action, litigation, cyber incident, capital call or change in exit timing.

Do not wait for the next scheduled date when the event could alter the family’s decision. Record who must notify the valuation owner and how quickly the review begins.

Build a minimum information package

Request current management accounts, cash position, forecast, capitalisation table, debt schedule, budget variance, material contracts and board reporting. Add industry and transaction evidence relevant to the method. Preserve the date and source of each input.

The ACRA directors’ duties guidance explains that companies must keep proper accounting records and that directors must ensure financial statements give a true and fair view. A family investor should still check what information it is contractually entitled to receive.

If the family has a nominee director or observer, do not assume all board information can be distributed. Apply confidentiality, conflict and personal-data restrictions. The protocol should identify permitted recipients.

Select and apply a suitable method

Possible approaches include recent transaction price, market multiples, discounted cash flow, net assets or another industry method. State why the method fits the company, stage and available evidence. Use more than one method when a cross-check adds value.

A recent funding round may be relevant, but examine investor rights, liquidation preferences, convertibles and changed facts. The price of a preferred share may not equal the value of the family’s ordinary shares.

For a forecast method, document revenue, margin, cash flow, discount rate and terminal assumptions. Compare them with actual performance and earlier forecasts. Avoid changing several assumptions in the same direction without explaining the combined effect.

Use ranges and uncertainty honestly

A point estimate can look more certain than the evidence allows. Consider a reasonable range where outcomes depend on milestones, financing or an uncertain exit. Show the central case and the factors that could move it.

As a result, family reporting should separate value change from cash invested, distributions and currency movement. That breakdown shows whether portfolio performance comes from operating progress, market assumptions or exchange rates.

Do not smooth a value merely to avoid volatility in family reports. Stable reporting should come from a consistent method and clear explanations, not delayed recognition of adverse evidence.

Challenge conflicts and optimistic inputs

Identify who originated the investment, holds a board seat, receives carried interest, proposes follow-on funding or has a relationship with management. Those facts do not invalidate the estimate, but they may require independent challenge.

Use a reviewer who can question the method and inputs. For a material or disputed holding, consider an independent valuer. Record disagreements, evidence considered and the person with final authority.

The relevant company directors remain responsible for duties owed to that company. The family office should not ask a nominee director to disclose or use confidential information improperly. Formal legal questions should be reviewed by qualified counsel.

Connect value to portfolio decisions

Update concentration, liquidity and risk reports after approval. Consider whether the value changes a follow-on commitment, distribution plan, borrowing decision or family-level asset allocation. Record the decision separately from the calculation.

Where the company needs more capital, compare the proposed round with the updated value and downside case. A lower price may create an opportunity, but it can also signal a weakened investment case or dilution risk.

Retain each approved valuation and the supporting package. Do not overwrite the previous record. The history helps reviewers understand changes in method, assumptions and information quality.
