Change a VCC or sub-fund name in Singapore

A VCC name change must be updated with ACRA within 14 days, while a sub-fund name change must be updated within one working day.

To change a VCC name, obtain the required internal approval, complete any name approval step and update ACRA within 14 days. A sub-fund name change follows a much shorter ACRA timetable: the current guidance says it must be updated within one working day. Both changes carry a current ACRA fee of S$15.

The filing is only one part of the work. The manager, administrator, custodian, bank, auditor, distributors and investors need the same effective name across their records.

Identify exactly what is being renamed

An umbrella VCC has its own legal name and separate registered sub-fund names. Start by identifying whether the proposal affects the VCC, one sub-fund or both. Record the VCC UEN and the sub-fund number beside every proposed name.

For this reason, do not treat a strategy label or share-class label as a registered sub-fund name. Compare the constitution, ACRA record, offering document, subscription materials and administrator system.

If several sub-funds use a common naming convention, decide whether the change is genuinely needed for each one. A broad rebranding can create avoidable amendments and investor communications.

Check the name against legal and commercial restrictions

Section 21 of the Variable Capital Companies Act contains the VCC naming rules. A proposed name may be refused where it is undesirable, identical to another registered or reserved name, or within another prohibited category. ACRA can also direct a VCC to change a name in specified circumstances.

In practice, Search corporate names, trademarks and fund product names. Review whether the wording implies a guarantee, regulated status, geographic focus or environmental characteristic that the fund cannot support.

Check the offering and marketing consequences before applying. A legally available name may still confuse investors or conflict with a distribution agreement.

Confirm the approval under the VCC constitution

Review the VCC Act, constitution and fund documents to determine the approval for the VCC or sub-fund name change. Record the directors’ and members’ decisions required, voting rights, notice period and effective date.

At the same time, Where the name change affects the constitution or offering terms, coordinate those amendments with Singapore legal counsel. Do not assume the short ACRA filing deadline removes the need for a valid corporate decision.

Use the approved spelling consistently in the resolution, application and amended documents. Include the VCC suffix where required.

Meet the correct ACRA deadline

ACRA’s VCC information guide, updated on 29 January 2026, distinguishes the deadlines. A VCC name change must be updated within 14 days. A sub-fund name change must be updated within one working day and does not require a Notice of Resolution to ACRA.

Update offering and investor documents

Review the constitution, offering memorandum, sub-fund supplement, subscription form, side letters and investor notices. State the effective date and clarify that the underlying legal vehicle or sub-fund number has not changed unless another transaction occurred.

For example, check whether investor consent or advance notice is required under the documents. A branding exercise cannot override contractual rights.

Preserve former names in the document history and records index. Investors and auditors may need to trace transactions completed before the change.

Reconcile every service provider

Give the accepted ACRA evidence to the manager, administrator, custodian, bank, auditor, tax adviser, company secretary and distributors. Each provider should confirm which systems, account names and reporting templates it changed.

In addition, For a sub-fund, check bank and custody account labels, NAV statements, trade records, invoices and tax records. Do not allow the administrator to create a new internal fund identity that breaks historical performance or transaction continuity.

Update websites and marketing only after the legal timing is clear. Archive old materials and stop new subscriptions on outdated forms.

Verify the public and internal record

Obtain a current ACRA information product where useful and compare the accepted name to the approved resolution and fund documents. Check that the sub-fund number remains correct.

For an umbrella, also confirm that another sub-fund was not changed accidentally. Portal access, bulk templates and administrator data can contain similar names. A second reviewer should compare every updated sub-fund number with the approved list.

Keep the former name in the legal and operational history. Auditors, investors and regulators may need to connect earlier financial statements, contracts and correspondence to the renamed VCC or sub-fund.
