A Singapore VCC charge generally needs registration within 30 days if created here or 37 days if created overseas, with the correct fund owner identified.
VCC charge registration should be planned when the security document is negotiated, not after the financing closes. ACRA states that a charge created in Singapore generally needs registration within 30 days, while a charge created outside Singapore generally has a 37-day period.
The filing team must also identify whether the security belongs to the standalone VCC, umbrella VCC or a particular sub-fund. A deadline met against the wrong UEN does not give the parties a reliable register.
Identify the security before signing
A charge gives a creditor security over specified assets or an asset class. A fixed charge may cover assets such as land, shares or intellectual property. A floating charge may cover changing assets such as cash, investments or receivables until it crystallises under its terms.
For this reason, list every security document in the transaction. Record the chargor, chargee, secured obligations, asset description, governing law, execution place and proposed creation date. Include debentures, account charges, custody arrangements and security over subsidiary shares where applicable.
Do not decide registrability from the document title alone. A deed described as an assignment or control agreement may create registrable security. Obtain legal advice on the instrument and the applicable registration provision where the position is uncertain.
Map the legal owner and sub-fund
ACRA’s VCC charge guide says Singapore VCCs and sub-funds can register charges. For an umbrella structure, the fund team should identify the sub-fund whose assets support the obligation and use the correct sub-fund number.
In practice, check the constitution, offering document, financing resolution, bank or custody account and asset register. The description of the secured pool should respect statutory segregation between sub-funds. Do not describe all umbrella assets as available for one sub-fund’s debt.
If several entities provide security, create a separate filing line for each chargor. A group closing checklist should not collapse them into one generic item.
Fix the creation date and place
The filing period depends on where and when the charge was created. Record the actual execution mechanics, counterparts, time zone and any condition affecting creation. The commercial closing date may not answer every legal question.
At the same time, ACRA asks for the date of creation and the place where the instrument was executed. Ask counsel to confirm these fields in the registration memo. Do not choose an overseas place merely to obtain the longer 37-day period.
Set an internal filing deadline well before the statutory end date. Allow time to obtain the executed document, certified extract, lender details and portal access.
Check whether the asset or instrument is registrable
The current ACRA guide lists charges on debenture issues, uncalled share capital, subsidiary VCC shares, land, book debts, floating assets, unpaid share calls, ships, aircraft, goodwill and intellectual property among the registrable categories. Sections 42 and 43 of the Variable Capital Companies Act address registration of charges and charges on property acquired.
As a result, prepare a short legal conclusion for each instrument. State the registrable category, fund owner, creation date, deadline and person responsible. Keep the conclusion with the closing record rather than relying on a calendar entry without explanation.
Where the VCC acquires property already subject to a charge, check the separate duty for an existing charge on acquired property. The acquisition date and earlier security record may be relevant.

Do not depend on a late extension
ACRA says a VCC cannot request an administrative extension for a charge created in Singapore. It needs a court order and must register within the period granted. For overseas charges, the stated extension route also involves a court order and a three-month period.
For example, late registration can expose officers to penalties. More importantly, ACRA warns that the charge may be void against a liquidator or other secured creditors. That can undermine the lender’s intended priority.
Escalate a missed date immediately to Singapore counsel and the lender. Do not file an invented creation date or alter an executed document to make the period appear open.
Record variations and satisfaction later
A variation may change the secured amount, lender or other terms. A satisfaction filing records that the secured debt has been paid in whole or part and releases the charge from the register as applicable. Keep the original charge number with later filings.
In addition, reconcile the register during every refinancing, investor due diligence and year-end legal confirmation. A repaid facility may remain visible if no satisfaction was filed. A varied facility may be misleading if the original registration was never updated.
