A foreign company authorised representative change needs continuity, accurate particulars and an ACRA filing within 30 days.
A foreign company authorised representative must remain locally resident and able to act for the Singapore branch. When a representative joins, leaves or changes particulars, the foreign company should approve the change, protect operational continuity and update ACRA within 30 days. The filing is only one part of the handover.
The branch should avoid any period in which official notices, bank requests, regulatory questions or legal documents have no clear local owner. Start the replacement process before accepting a resignation date where possible.
Confirm that the person can take the role
ACRA’s foreign company branch registration guide requires a locally resident authorised representative. Check the proposed person’s Singapore residency basis, identification details, contact information and willingness to take on the appointment.
Explain the branch’s activity, licences, employees, bank arrangements, tax filings, disputes and outstanding official correspondence. A person should not accept the role based only on a name appearing in Bizfile. The representative needs a practical route to the head office and the records required to respond.
Where the person holds an employment pass or another immigration status, check whether that status permits the appointment. Obtain immigration or legal advice where the position is unclear rather than treating local presence as sufficient.
Record the head-office decision
Use the approval method required by the foreign company’s law and constitutional documents. The record should name the outgoing and incoming representatives, effective dates, authority to file, access changes and the person responsible for handover. If a power of attorney or local authority document changes, have Singapore counsel check the wording and execution requirements.
Keep the resignation or cessation notice, consent to act, identity information and approval together. The effective dates should match the Bizfile transaction and the branch’s internal registers. Avoid backdating a decision to make a missed deadline appear compliant.

Prepare the ACRA particulars before filing
The ACRA update guide says appointment or withdrawal of an authorised representative must be filed within 30 days. The filing information includes name, identification number, nationality, date of birth, fixed-line number, residential and contact addresses, email, position and the relevant appointment or cessation date.
Check the contact address carefully. ACRA says it is displayed publicly instead of the residential address, must be in the same country as the residential address and cannot be a post office box. Make sure the person understands which details are public and which official letters may still go to the residential address.
For a change in particulars rather than a new appointment, update the position-holder details within the same 30-day period. Supporting evidence may be required for a name change or other personal information. Use the exact current identity record rather than an informal shortened name.
Keep the branch compliant during the handover
List every duty that depends on the outgoing representative. This may include receiving notices, dealing with the corporate service provider, signing bank documents, handling employment matters, maintaining registers and liaising with the landlord or regulator. Reassign each item explicitly.
If the branch has only one authorised representative, set the incoming appointment and outgoing cessation dates to avoid a gap. Confirm access before the outgoing person’s email, phone or system account is disabled. A handover is incomplete if the new representative appears in ACRA but cannot retrieve earlier notices.
Review the registered office and branch register location at the same time. Foreign company changes to the registered office, office hours or place where the branch register of members is kept also fall within the foreign-company update process and normally have the 30-day deadline.
Notify other parties by function
ACRA filing does not automatically update every bank, landlord, counterparty, regulator or insurer. Use a notification list based on the role the person actually held. Send evidence only through the recipient’s secure process and avoid circulating identity documents more widely than necessary.
For banks, distinguish an authorised representative from an account signatory or beneficial-owner contact. When licences are involved, check whether the outgoing person also held a separately approved role. Contract reviews should cover powers of attorney and notices clauses. Changing the ACRA record may not revoke every earlier authority.
Suppose the sole representative leaves on 30 September. The head office can approve the successor effective 25 September, complete identity and contact checks, give system access, file both changes within 30 days of their respective dates and retain an overlap handover. The branch should also update bank and licence contacts without waiting for the next annual filing.
Close the change with a current record
Download the filing confirmation and current business profile. Compare the names, dates and addresses with the head-office approval. Keep evidence that mail, systems, mandates and open matters were transferred. Record any issue that remains with a named owner and due date.
