EFS borrower repayment: risk share is not forgiveness

Understand EFS borrower repayment, lender credit assessment, government risk sharing, security, pricing and cash-flow responsibility.

EFS borrower repayment remains the company’s contractual duty even when the government shares risk under the Enterprise Financing Scheme. The participating financial institution still assesses credit, sets terms and manages the facility. A company should evaluate the loan on its own repayment capacity rather than treating the risk-share percentage as a discount.

Read EFS borrower repayment as commercial debt

Record principal, tenor, drawdown conditions, interest, fees, security, guarantees, covenants and default provisions. Compare these terms with the business cash cycle and downside case. The Enterprise Financing Scheme page explains that financing is delivered through participating financial institutions and that credit decisions remain with them.

Use the current EFS FAQ for programme questions, but let the signed facility documents control the debt relationship. Government risk sharing operates between the scheme and lender. It does not cancel instalments or transfer ordinary business losses away from the borrower. EFS borrower repayment therefore belongs in the company’s full debt schedule.

Stress-test repayment before accepting support

Build monthly cash flow for the base, delayed-revenue and cost-overrun cases. Include interest-rate movement where applicable, tax, working capital, existing facilities and covenant headroom. Identify the earliest month in which debt service becomes tight and the management action available then.

Compare lenders on total cost, flexibility, security and service, not only the headline risk-share rate. Ask how late payment, restructuring, default and enforcement are handled. A lender’s approval shows its credit decision, not that the funded project will succeed.

Keep scheme and loan records reconciled

Maintain the eligibility evidence given to the lender, the facility offer, drawdowns, repayments and material changes. Tell the lender promptly when required by the documents. Do not use the EFS label in public or internal reporting to imply a government guarantee to the company.

Use the EFS application-pack guide for lender preparation and the enhanced risk-share timing guide for the temporary 2026 to 2027 parameters.

Show who carries each downside

Add a responsibility table covering the borrower, guarantor, lender and government risk-sharing arrangement. For each downside, state who must make the payment, who may enforce security, who approves a restructuring and who absorbs a loss only after the contractual process. Review the table with the signed offer, not marketing material. Board minutes should record the maximum exposure and the cash source for debt service. This makes the facility decision understandable even when the original deal team has changed.

Turn the decision into a controlled file

Use a dated decision record that identifies the applicant, business need, current official source, chosen route, responsible owner, costs, milestones and evidence. Separate facts already verified from forecasts and assumptions. A catalogue listing, supplier statement, consultant recommendation or portal acknowledgement does not establish approval. The company remains responsible for its declarations and commercial decision.

Give each quotation, contract, invoice, payment and deliverable a stable reference. Preserve earlier versions and explain material changes instead of silently replacing them. Where the authority, tax adviser, auditor or another professional must decide a point, record the open question and obtain the required view. Do not convert uncertainty into a confident eligibility statement.

Review before commitment and again before closeout

Run four reviews: suitability, authority, implementation and closeout. At suitability, test the entity, activity and business outcome. Before commitment, freeze the proposed scope, vendor and financial assumptions. During implementation, compare actual work with approved terms. At closeout, reconcile deliverables, accepted results, invoices, full payment, operating evidence and obligations that continue.

Name the person who may approve each stage and the records that person must see. Procurement should not treat a draft application as permission to contract. A project team should not treat supplier completion as company acceptance. Finance should not treat a submitted claim as cash received. Clear status words prevent accidental commitments and weak reporting.

Handle exceptions without rewriting history

Maintain an exception log for changed facts, delayed milestones, supplier variations, cost movements, missing records and failed tests. State the effect on scope, eligibility, timing and expected value. If an authority decision or formal variation is required, use the published route before relying on the change. Silence and helpdesk receipt are not approval.

If a material defect appears, pause the affected acceptance, filing or claim item. Keep original evidence, assign corrective action and set a review date. Do not backdate records, move costs between categories or adjust a baseline after seeing the result. A candid exception with an owned resolution is more credible than a clean-looking file that cannot explain what happened.

Plan handovers before the original project team disperses. The handover should identify the current version, source locations, system access owner, next review date, open exceptions and any condition that continues after payment or filing. Restrict personal, financial and commercially sensitive records to authorised users, while giving each responsible owner enough information to perform the assigned control. Record the external event that should trigger an earlier review, such as a changed programme page, revised authority letter, supplier failure or material business change.

Verify the final outcome independently

Ask someone who did not prepare the final pack to compare the decision, current official source, approved terms, deliverables, payments and operating evidence. Recalculate totals and sample source records. The reviewer should be able to reproduce the conclusion without relying on the preparer’s memory. Record unresolved points with named owners and dates.

Use the business support decision guide for the wider decision and keep this article as the narrower operating guide. After submission, preserve the receipt and reconcile questions, adjustments and the final registered or paid outcome. Continue any reporting, retention, asset-use or other condition that survives closeout.

Practical review checklist

  • Facility terms read
  • Downside cash flow tested
  • Security and guarantees understood
  • Lender comparisons completed
  • Repayment ownership assigned

An EFS facility is ready for approval when the borrower can service the full debt, understands lender discretion and security, and has not mistaken government risk sharing for debt forgiveness.
