Build an RIC nominated company control file for allocations, tax set-off and seven-day cessation notices.
An RIC nominated company can use allocated credit against specified due taxes, but a group should not treat the credit as a general cash pool. IRAS requires a nomination and allocation framework, and its current guidance says a nominated company must notify the RIC company within seven days if it ceases to meet the conditions. A controlled register keeps the legal entities, tax liabilities and remaining credit aligned.
Identify the RIC company and award
Record the legal RIC company, award reference, approved project, credit period and the terms in the award letter. Separate the approved credit from any estimated project benefit. The award and applicable legislation control what can be claimed and when it becomes available.
Name an internal owner for the credit and a tax reviewer. Keep EDB, IRAS and project correspondence in the same controlled index. Do not rely on a presentation prepared during the investment decision if later award conditions are more specific.
Screen each proposed RIC nominated company
List the exact name, UEN, tax residency, group relationship and relevant tax accounts of every proposed nominee. Trace the relationship to current corporate records. A business label such as regional headquarters or operating subsidiary does not establish that the legal nomination conditions are met.
Document the assessment date and evidence. Include planned restructurings, disposals, liquidations or migrations that could end eligibility. If the group position is uncertain, obtain advice or official clarification before making the nomination.
Use a formal nomination record
Preserve the nomination instrument, effective date, authorised signatories and IRAS acknowledgement. Record any limit or allocation attached to the nominee. Do not allow finance teams to use credit merely because the entity appears in an internal group chart.
Give each nomination a status such as proposed, submitted, effective, changed or ceased. Retain superseded versions. The audit trail should show which authority applied on the date of each set-off.
Map eligible due taxes
IRAS states that RIC may be set off against corporate income tax, domestic top-up tax and multinational enterprise top-up tax, including related penalties, surcharges and late-payment interest, for the RIC company and nominated companies. Record the exact tax type, assessment, amount and due date before allocating credit.
Do not net the credit against GST, withholding tax, payroll obligations or an unassessed forecast. Reconcile the live tax account and notice. A management provision is not a due tax available for set-off.
Control allocations and the remaining credit
Maintain one ledger showing opening RIC, allocations by entity and tax, set-offs confirmed, reversals, cash-election amounts where applicable and closing balance. Prevent two teams from reserving the same credit. Every entry should have an approver and official evidence.
The RIC company should retain central control even when nominees prepare their own tax filings. Set an internal cut-off before tax due dates so the group can resolve conflicts and avoid late payment if a proposed set-off is unavailable or delayed.
Install the seven-day cessation alert
The current IRAS RIC page says a nominated company must notify the RIC company within seven days after it ceases to meet the nomination conditions. Include this obligation in restructuring, entity-secretarial and tax closeout checklists.
Record the event date, notification date, affected unused allocation and follow-up action. Do not wait for the annual tax process. A disposal or group change can create a short operational deadline that sits outside the ordinary filing calendar.
Reconcile official outcomes
After each set-off, compare the submitted allocation with the IRAS account, assessment and remaining credit. Investigate partial use, rejection or reallocation. Retain the official outcome rather than marking the ledger complete from an internal journal alone.
If credit is elected for a permitted cash schedule, document the irrevocable election and payment timeline separately. The decision should reflect tax forecasts, cash needs and award conditions, with board or delegated approval at the appropriate level.
Link the credit to investment governance
Review whether the underlying project continues to meet its approved commitments and evidence requirements. The tax-credit ledger does not replace project monitoring. Keep expenditure, milestones and reporting connected to the award file.
The RIC pre-investment questions guide covers the earlier decision. This nominated-company file governs the later group use. The enterprise support and incentives hub connects related EDB and Enterprise Singapore routes.
Run a group allocation meeting
Before a major tax due date, circulate a controlled schedule showing each nominated company’s eligible due tax, proposed RIC allocation, payment fallback and confirmation owner. Ask entity tax teams to certify the assessment number and status. This prevents the central team from allocating credit against a forecast, disputed amount or liability that has already been paid.
Rank allocations using documented group criteria, such as due date, certainty and cash need. The criteria should be approved before teams compete for a limited balance. If the group decides not to allocate credit to an eligible tax, record the reason and how the tax will be paid. The RIC company should not leave nominees assuming an offset will occur.
After the meeting, lock the proposed schedule until an authorised change is approved. Reconcile every official set-off and circulate the confirmed result. Where a nomination ceases or an entity leaves the group, remove future allocations promptly and trigger the seven-day notification process. A recurring meeting creates discipline, but the official account remains the evidence of use.
RIC group use needs one authoritative register, not informal offsets across tax teams. Confirm every RIC nominated company, allocate only against eligible due taxes, monitor the seven-day cessation rule and reconcile each result with IRAS.
