Map EDGE local ownership and the SME group boundary before using turnover or employee figures in an application.
EDGE local ownership begins with the legal applicant and the correct corporate group. The current official FAQ says the applicant must be a Singapore-registered business with at least 30% Singapore citizen or permanent-resident ownership. For the SME definition, group annual sales must be no more than S$100 million or group employment no more than 200 workers, with the group including companies that own more than 50% of the applicant and companies that the applicant owns by more than 50%.
Fix the applicant entity first
Record the exact legal name, UEN, entity type and operating activity of the company that will contract, pay, implement and claim. Do not begin with a brand, business unit or holding group. The applicant’s records must align with the quotation, project location, bank evidence and official submission.
Confirm that the entity is registered and operating in Singapore. A related operating company cannot lend its facts to a dormant applicant merely because both sit in the same group. Each application needs an honest account of the named applicant and the activity requirements selected.
Trace EDGE local ownership
Build an ownership chart from the applicant to ultimate individual owners. Identify each percentage, intermediate entity, jurisdiction and evidence date. The official EDGE FAQ and current activity pages describe local ownership as direct or indirect and determined by ultimate individual ownership, so a shareholder name alone may not answer the test.
Use current corporate registers and reliable ownership documents. Reconcile recent allotments, transfers, options or conversions that may change the percentages. Do not infer citizenship or permanent-resident status from a name, address or identity number format. Retain verified status only in the approved confidential file.
Draw the more-than-50% group edges
For the SME group test, include every company that owns more than 50% of the applicant and every company in which the applicant owns more than 50%. Follow the chain to capture the resulting group structure. Mark exactly 50% holdings separately because the FAQ uses more than 50%, not 50% or more.
Complex structures need a dated conclusion for each edge. Joint ventures, trusts, nominee arrangements and voting agreements may require professional advice because a simple share table may not describe every relevant fact. Do not simplify an uncertain structure simply to fit a grant form.
Collect consistent revenue figures
For each included company, record the financial period, currency, annual sales figure and source statement. Align periods where possible and explain differences. Eliminate intra-group sales only if the applicable official method and records support that treatment; do not improvise a consolidation policy for the application.
The threshold uses group annual sales turnover. It is not the applicant’s Singapore revenue, taxable profit or bank receipts. A fast-growing group should also test the latest reliable figures rather than relying automatically on older audited accounts that no longer describe current scale.
Build the employment count
List employees by employing entity and the date or period used. Reconcile payroll, CPF records and overseas payroll where relevant. Contractors and secondees need classification based on the applicable official definition and actual arrangement, not a label chosen for the application.
The SME test is alternative: group sales of no more than S$100 million or group employment of no more than 200 workers. Record both where available. Passing one limb does not justify understating the other, and another activity may require additional size or sector facts.
Keep applicant and group tests separate
Use one worksheet for the applicant’s registration and local-ownership conditions, and a second for the SME group calculation. This prevents the 30% local ownership test from being applied to every group entity or the SME thresholds from being tested only at applicant level.
Add a third section for activity-specific requirements. EDGE contains many activities with different support levels, project periods, vendor conditions and deliverables. General eligibility does not prove that a particular activity or cost is supported.
Review changes through claim
Ownership, operations and group size can change after application. Record proposed share transactions, acquisitions, disposals and restructurings that could affect the facts. The current EDGE process warns that eligibility must continue through claim for relevant activities.
Assign an owner to recheck the map before accepting the Letter of Offer, making a material commitment and submitting the claim. The EDGE ownership-change claim guide explains the later-stage response when the structure actually changes.
Approve a defensible eligibility memo
Summarise the applicant, ultimate local ownership, group boundary, revenue, headcount, evidence date and unresolved points. Have a corporate reviewer verify the ownership map and finance or HR verify the size figures. Keep sensitive documents private and provide only required material through authorised channels.
Link the memo to the business support cornerstone and the selected activity record. If the answer depends on an uncertain ownership or employment interpretation, obtain official clarification before submission rather than turning a planning assumption into a declaration.
Test a layered ownership example
Suppose a Singapore applicant is 40% owned by a Singapore citizen and 60% owned by a foreign holding company. The direct local holding appears to clear 30%, but the group calculation still needs the companies above and below the applicant that cross the more-than-50% boundary. The local-ownership conclusion and the SME group conclusion come from related but different maps.
If the applicant owns exactly 50% of a joint venture, mark it as a boundary item and preserve the shareholders’ agreement for review. The FAQ’s group description uses more than 50%. Staff should not silently round an ownership percentage, treat management influence as a stated ownership test or omit an entity because its accounts are inconvenient to obtain.
Use a dated organisation chart with arrows labelled by legal ownership percentage. Beside it, keep a table of ultimate individuals and verified local status, then a separate table of revenue and employment for the SME group. This three-part presentation lets a reviewer see where each conclusion comes from and highlights any entity or owner still awaiting reliable evidence.
A clean EDGE local ownership file shows who the applicant is, which owners satisfy the threshold and which entities belong in the SME group. That map should be settled before the proposal, projected benefits and supplier documents are built around it.
