How to verify VCC information before fund onboarding

Verify VCC information by matching its business profile, officer registers, filings and document authenticity to the proposed fund relationship.

To verify VCC information before onboarding, start with the VCC’s exact name and UEN, then buy only the ACRA products needed for the relationship. A business profile confirms core registration details. Extracts, certificates and registers answer different questions. Each document should be checked for authenticity and compared with current information from the VCC and its fund manager.

An ACRA product is an important source, but it is not a complete fund due diligence file. It does not replace review of the constitution, offering documents, sub-fund details, manager authority, service-provider appointments and the commercial mandate.

Define the onboarding question first

A bank, administrator, auditor, investor and supplier do not need the same information. Write down the relationship, legal counterparty, payment flow, regulated activity and decision to be made. Then identify the evidence required to answer that question.

For example, a supplier contracting with the umbrella VCC may need the legal name, UEN, registered office and authorised signatory. An investor entering a sub-fund needs to confirm the umbrella, sub-fund identity, manager, offering terms and subscription route. A bank opening an account will require broader customer due diligence and beneficial-owner evidence.

Do not search by a shortened fund brand. Similar names can refer to a VCC, sub-fund, manager or offshore feeder. Use the legal documents to obtain the precise name and UEN before buying information.

Choose the ACRA product that answers the question

The current ACRA VCC information products page lists business profiles, extracts, certificates and registers. The business profile gives basic entity and position-holder information. Extracts provide copies of filed documents. Certificates confirm specified registration facts. Registers provide official lists of directors, secretaries, managers or auditors.

In practice, create an evidence list instead of buying every available product. If the concern is who may have held an officer role, a register can be more useful than a current profile. If the concern is the wording of a filed constitution or annual return, the relevant extract may be needed. Some documents are restricted to key VCC officers.

Record the product name, purchase date, document date, order reference and question it supports. A six-month-old profile should not be described as current without a fresh check.

Confirm the VCC and any sub-fund are the intended entities

A VCC may be standalone or an umbrella with sub-funds. The parties should agree which entity or sub-fund is involved and how the contract or account should be named. Check the UEN and any sub-fund number against the official portal and transaction documents.

At the same time, the ACRA VCC Portal page explains that the portal supports registration, officer updates, information purchases and directory searches. Use the directory search to confirm the registered VCC and sub-fund names before relying on an email instruction.

Match the result to the constitution, offering memorandum, subscription agreement and manager confirmation. Investigate differences in punctuation, legal suffix, sub-fund name, address or manager identity. Do not send money while the legal counterparty remains unclear.

Review officers and service-provider appointments

A VCC must have required directors, a company secretary, a permissible fund manager and an auditor. The profile and registers can help confirm who is recorded, but the onboarding file should also include current appointment or authority evidence relevant to the transaction.

As a result, check whether the person signing is a director or acts under a valid delegation. For an investment or custody relationship, verify the manager and its regulatory status through the appropriate MAS source. Confirm the administrator, bank, custodian and auditor directly where the relationship or risk warrants it.

Do not assume that an email domain proves authority. Call a verified contact or use another approved channel for new payment details, unusual redemption instructions or changes to the receiving account.

Check document authenticity

The ACRA buying and checking guide explains how to purchase products and verify them. Follow the current authenticity method for the product supplied. Keep the verification result with the document rather than recording only that someone looked at it.

For example, if a counterparty sends an ACRA document, compare its reference, date and content with a document obtained through the official route when the risk is material. A PDF can be altered after download. Check whether pages, QR codes, authentication references and product descriptions are complete.

Use a dated verification log. Record who checked the document, the official service used, result, exception and follow-up. Repeat the check when a key fact changes or before a high-value transaction after a long gap.

Reconcile official facts with the commercial documents

Prepare a one-page comparison covering legal name, UEN, VCC type, sub-fund, registered office, directors, manager, auditor, signatory and payment account. Mark the source and date for each field. Resolve every material mismatch before approval.

A good verification file is proportionate. It buys the official evidence needed, checks that evidence through ACRA and then compares it with the transaction actually proposed. That is more useful than a large folder of unreviewed documents.
