Check the legal decision before the portal form

Confirm whether members, a class, directors or another body had authority to decide the matter. Check notice, quorum, voting threshold and any consent required by the constitution or fund documents. The filing record should not be used to repair a decision that was never validly made.

Where the resolution changes investor rights, capital terms, sub-fund arrangements or the constitution, coordinate the company secretary, manager and Singapore legal counsel. Keep the final legal document and advice in the restricted governance file.

Use one portal transaction for each notice

The VCC Register announcement warns that multiple changes in a single transaction can fail. It specifically directs users to file each Notice of Resolution separately. Build the queue before lodgement so the filing order is deliberate rather than improvised after an error.

Assign one lodger and record the source document for each transaction. Do not upload the full meeting pack if the service asks for a particular notice or attachment. The lodger should use the exact resolution identifier and date from the approved register.

Capture each result before moving on

Save the acknowledgement and reference for the first notice. Then check transaction history or the relevant official output. Do not mark the row complete from the submit button alone. If the service shows a query or failure, preserve the message and pause dependent filings.

Ask a second person to match the portal outcome with the signed resolution. The check should cover the VCC, affected sub-fund, decision date, resolution type and intended effect. Record any mismatch and the correction route.

Handle a failed transaction without duplicates

A failed multi-change attempt should not lead to several blind retries. First, establish whether any notice was accepted. Compare transaction history, acknowledgement references and official records. Then separate the unresolved notice into its own clean transaction.

Do not alter the signed resolution to fit an error message without governance approval and legal advice. If the decision itself needs correction, preserve the original and document the new decision properly.
