Foreign branch certification record before filing

A foreign branch certification record checks who certified each document, when, against which original and whether translation is complete.

A foreign branch certification record should identify every certificate, constitution and translation that supports the Singapore registration. For each item, record the document date, certifier, certification date, governing authority and exact upload file. This stops the team from mistaking an older certified copy for the latest parent-company record.

ACRA’s current foreign-company branch guide lists the certificate of incorporation, constitution, latest financial statements where required and certified translations. The page also gives specific certifier categories. The filing team should follow the live wording and record any ACRA approval needed for an exception.

Start with a dated parent-company inventory

Ask the home-country company for its current registry extract, certificate of incorporation, constitution and amendment history. Add the latest financial statements when ACRA requires them. Do not begin by searching an old email folder for files with familiar names.

Separate document date from certification date

A constitution may have an adoption date, later amendments and a separate certification date. A registry may generate or issue a certificate on one date before a certifier checks it later. Capture all relevant dates. A recent stamp does not make an outdated constitution current.

Compare the certified constitution with the amendment register and current home registry information. If the parent adopted a change after the copy was certified, obtain the current document and arrange fresh certification through an accepted route.

Use the accepted certification route for each document

ACRA says an official who holds the original and performs a role corresponding to ACRA in the home country must certify the certificate of incorporation as a true copy. ACRA states a wider list for the constitution, including the corresponding official, a notary public, certain company officers by affidavit or statutory declaration, and the registered qualified individual who verifies authenticity.

The Companies Filing of Documents Regulations contain the legal certification and translation provisions. Where the facts do not fit the ordinary route, obtain Singapore legal advice or ACRA clarification instead of inventing an equivalent certifier.

Record the current ACRA timing wording carefully

The current ACRA guide includes a timing note for certification of the certificate of incorporation and constitution, with an ACRA-approval exception. Because a filing depends on the live official instruction, capture the page date and exact wording used by the filing team. Do not silently replace it with a remembered practice.

If the timing appears unusual or the certified document has aged during a filing delay, stop and confirm the position through the official channel. Record the response or approval with the package. The practical aim is a defensible file, not a debate over an ambiguous sentence after rejection.

Keep translation and certification as separate checks

A certified copy of a non-English document does not by itself make the English translation acceptable. ACRA lists accepted certification routes for translations completed outside Singapore. ACRA also requires an approved person to certify a translation completed in Singapore.

Link each translation to the exact source file. Check names, addresses, registration numbers, dates and defined terms character by character. If a transliteration differs from the intended Singapore filing, resolve it before upload and keep the reason for the chosen spelling.

Control the upload set

Give each final file a version identifier that matches the certification record. The lodger should upload only the reviewed set. After upload, another person should compare the displayed filenames and document types with the index before payment.

Respond to a discrepancy without changing source records

If the legal name, constitution, director details or registration number differs, preserve the originals and write a factual reconciliation. Ask the parent company or issuing authority for the current record. Do not edit a PDF, crop out an amendment page or alter a translator’s certification.

Approve one foreign branch certification record

Before filing, the parent representative, registered qualified individual and internal reviewer should confirm the document list, current versions, certifiers, translations and any approval. The lodger then signs off the exact upload set.

Set a short validity review if registration slips. The owner should check whether the home registry, constitution, directors or financial statements changed after the reviewers approved the package. A delay does not automatically invalidate every document, but it creates a fresh reason to compare the package with current source records before lodgement.

A complete foreign branch certification record does not guarantee approval. It does show that the company used identifiable current source records, accepted certification routes and a controlled translation process, giving ACRA a coherent package and the business a reliable audit trail.
