A non-resident director board meeting record separates permitted meeting attendance from operating work during a Singapore visit.
A non-resident director board meeting in Singapore can be a legitimate business visit, but the itinerary must stay within the activity actually permitted. Registration as a director does not by itself authorise day-to-day work for the Singapore company.
The company secretary should prepare a factual activity record before the visit. It should identify the meeting, the decisions required and any separate operating activity that needs a work-pass check.
Confirm the director and visit status
Record the director’s name, company, UEN, appointment date, ordinary residence, passport and expected immigration status for the visit. Confirm that the person is not being presented as the company’s ordinarily resident director if that is not true.
MOM’s FAQ on non-resident foreign directors states that a foreigner who is not residing in Singapore does not need an Employment Pass merely to be registered as a director. That answer is limited. It does not say that every activity performed during a visit is permitted.
Record the intended arrival and departure dates and the purpose stated in travel planning. Entry remains subject to ICA assessment and the conditions of the visit pass issued.
Define the board meeting narrowly
Prepare an agenda that identifies decisions reserved to the board. Typical items may include approving accounts, budgets, major contracts, risk matters, appointments or corporate actions. Circulate board papers before the meeting so the visit is not used for unplanned operational work.
State the meeting location, time, participants and expected quorum. Identify whether the person will attend any shareholder, committee or business-partner meeting during the same trip.
The MOM work-pass-exempt activities page says a visitor does not need to notify MOM merely to attend company meetings, corporate retreats or meetings with business partners, provided the activity does not involve a contract of service or contract for service with an employer in Singapore. Keep the itinerary consistent with that description.
Separate governance from operating work
Board oversight concerns company direction and supervision. Operating work may include managing employees, negotiating sales as the company’s executive, delivering client work, approving routine transactions under a staff role or performing services that the Singapore business normally pays someone to do.
The title director does not turn operating work into meeting attendance. Review what the person will actually say, sign, decide and supervise. If the visit includes operational duties, obtain advice on the correct work-pass or exemption route before the activity begins.
Do not rely on an unpaid label. Work-pass analysis follows the activity and relationship, not only whether a separate fee appears on the itinerary.
Control activity around the meeting
List office visits, staff sessions, customer meetings, site inspections, training and speaking engagements. Give each item an owner who checks its immigration position. Cancel or restructure an activity that has no confirmed lawful basis.
A director may need information from managers before voting. Receiving a board briefing is different from taking over the manager’s role for the week. Keep staff invitations and meeting descriptions accurate.
If an eligible work-pass-exempt activity is planned, follow the current MOM requirements, including any notification after arrival and before starting. Do not describe ordinary meetings as a notified exempt activity when the page says notification is unnecessary.
Preserve proper director decision-making
ACRA’s director duties page states that obligations apply to all directors, including non-executive and nominee directors. The visitor still needs enough time and information to exercise independent judgement and meet the duties attached to the office.
Give the director complete papers and declare conflicts. Record questions, recusals and the basis for material decisions. Avoid minutes that imply the director merely approved instructions from a shareholder or headquarters.
Where a decision needs Singapore legal advice, coordinate with a Singapore law firm with the relevant corporate or employment speciality. The meeting record should not present a commercial coordinator’s view as a legal opinion.
Check tax and corporate records separately
A Singapore board meeting can be relevant to a company’s control and management, but one meeting does not settle tax residence on its own. Keep the tax analysis separate and based on the complete facts and decisions over time.
Minutes, travel records and expense claims should agree on dates and location. Do not alter minutes to create a preferred tax or immigration story. Record remote participants and where they joined from.
If a board decision changes an officer, register or company particular, assign the ACRA filing and deadline to the company secretary. The director’s departure should not leave an approved filing without an owner.

Close the visit with an actual-activity review
After departure, compare the planned record with what happened. Note added meetings, signatures, staff instructions or customer activity. Escalate a material difference instead of rewriting the itinerary.
Preserve the board pack, minutes, attendee list and follow-up actions with the company’s records. Remove temporary system access and return confidential papers through the approved process.
