VCC dividends from capital: reconcile the fund record

Reconcile a VCC dividend from capital with the constitution, sub-fund attribution, valuation, approvals, payments and member records.

A Singapore variable capital company may pay dividends from capital, not only profits, but that flexibility does not remove the need for a controlled fund decision. The VCC should identify the correct class and sub-fund, apply its constitution and offering terms, protect segregated assets and liabilities, and leave a record that explains valuation, approval and payment.

Start with the governing documents

Read the constitution, offering document, subscription terms and any class-specific distribution policy together. The ACRA VCC key-features guide identifies the ability to pay dividends from capital. Check the Variable Capital Companies legislation and obtain legal advice for the proposed facts rather than applying ordinary-company assumptions automatically.

Record the decision date, intended record date, payment date, currency, class and sub-fund. Identify restrictions, notices, equal-treatment requirements and approval authority. Do not use a board paper prepared for another class or period without rechecking the current facts.

Protect sub-fund and class attribution

Trace the proposed amount to the assets and liabilities of the correct sub-fund. For an umbrella VCC, do not fund one sub-fund’s distribution with another sub-fund’s assets. Allocate shared expenses and liabilities under the approved policy before determining the available amount.

Use the applicable valuation point and source. Reconcile units or shares, classes, currency and any equalisation or distribution mechanics. Investigate stale prices, large post-valuation movements and suspended assets before relying on net asset value.

Approve and execute one controlled payment file

Prepare a calculation schedule, cash forecast and investor list for independent review. The approval paper should state that the distribution is from capital, explain the basis and identify continuing liquidity needs. Separate preparation, approval, payment release and final reconciliation where practicable.

Validate investor bank details through the approved process and apply anti-money-laundering, sanctions, tax and withholding controls as relevant. Preserve rejected or returned payments and their resolution. Do not alter the record date to solve a later operational problem.

Reconcile capital and member records

Post the accounting entries consistently with the approved basis and update investor statements or registers as required. Reconcile approved amount, payment file, bank debit, unpaid balances and general ledger. For an umbrella structure, show the sub-fund effect separately and confirm that no other pool was affected.

Turn the decision into a controlled file

Use a dated decision record that identifies the applicant, business need, current official source, chosen route, responsible owner, costs, milestones and evidence. Separate facts already verified from forecasts and assumptions. A catalogue listing, supplier statement, consultant recommendation or portal acknowledgement does not establish approval. The company remains responsible for its declarations and commercial decision.

Give each quotation, contract, invoice, payment and deliverable a stable reference. Preserve earlier versions and explain material changes instead of silently replacing them. Where the authority, tax adviser, auditor or another professional must decide a point, record the open question and obtain the required view. Do not convert uncertainty into a confident eligibility statement.

Review before commitment and again before closeout

Run four reviews: suitability, authority, implementation and closeout. At suitability, test the entity, activity and business outcome. Before commitment, freeze the proposed scope, vendor and financial assumptions. During implementation, compare actual work with approved terms. At closeout, reconcile deliverables, accepted results, invoices, full payment, operating evidence and obligations that continue.

Name the person who may approve each stage and the records that person must see. Procurement should not treat a draft application as permission to contract. A project team should not treat supplier completion as company acceptance. Finance should not treat a submitted claim as cash received. Clear status words prevent accidental commitments and weak reporting.

Handle exceptions without rewriting history

Maintain an exception log for changed facts, delayed milestones, supplier variations, cost movements, missing records and failed tests. State the effect on scope, eligibility, timing and expected value. If an authority decision or formal variation is required, use the published route before relying on the change. Silence and helpdesk receipt are not approval.

If a material defect appears, pause the affected acceptance, filing or claim item. Keep original evidence, assign corrective action and set a review date. Do not backdate records, move costs between categories or adjust a baseline after seeing the result. A candid exception with an owned resolution is more credible than a clean-looking file that cannot explain what happened.

Plan handovers before the original project team disperses. The handover should identify the current version, source locations, system access owner, next review date, open exceptions and any condition that continues after payment or filing. Restrict personal, financial and commercially sensitive records to authorised users, while giving each responsible owner enough information to perform the assigned control. Record the external event that should trigger an earlier review, such as a changed programme page, revised authority letter, supplier failure or material business change.

Verify the final outcome independently

Ask someone who did not prepare the final pack to compare the decision, current official source, approved terms, deliverables, payments and operating evidence. Recalculate totals and sample source records. The reviewer should be able to reproduce the conclusion without relying on the preparer’s memory. Record unresolved points with named owners and dates.

Use the Singapore VCC valuation control guide for the wider decision and keep this article as the narrower operating guide. After submission, preserve the receipt and reconcile questions, adjustments and the final registered or paid outcome. Continue any reporting, retention, asset-use or other condition that survives closeout.

Practical review checklist

  • Constitution and offering terms checked
  • Class and sub-fund fixed
  • Valuation independently reviewed
  • Payment controls completed
  • Capital and member records reconciled

The distribution file is complete when the governing documents, sub-fund attribution, valuation, authority, bank payment and member-level record all reproduce the same capital-funded dividend.
