Build a GEMS listing grant cost budget for a planned SGX Mainboard or Catalist listing without assuming approval or reimbursement.
A GEMS listing grant budget should start with the intended SGX board, listing workstreams and full cash requirement. MAS currently states that eligible SGX Mainboard listing expenses may receive 70 per cent co-funding capped at S$2 million, while Catalist listing expenses may receive 20 per cent co-funding capped at S$300,000. Those ceilings do not turn every listing cost into an eligible expense or remove the issuer’s financing risk.
Choose the route before building the support case
Record why the issuer is considering Mainboard or Catalist, the proposed transaction structure, expected timetable and advisers required. Use the current MAS grants page for published GEMS rates and the MAS enterprise-finance overview for the scheme context. Confirm current detailed terms with MAS and the appointed listing professionals before relying on support.
Do not let the higher Mainboard percentage decide the market route. Listing eligibility, investor fit, governance readiness, ongoing obligations, adviser capacity and total execution risk remain separate decisions. Management should approve the chosen route on its own merits.
Create a workstream cost ledger
Separate issue management, legal, audit, reporting accountants, valuation, tax, sponsorship where relevant, exchange charges, investor materials and other workstreams. For each line, record supplier, scope, quote, tax, payment timing and the reason it is or is not treated as potentially eligible. Keep internal staff time and ordinary operating costs separate.
Use low, expected and high cases for both gross cost and potential support. Apply the published percentage only to the provisional eligible base, then apply the cap. Keep a zero-grant case. The issuer needs enough liquidity to continue or stop responsibly without treating a pending application as receivable cash.
Control mandate and change risk
Tie adviser mandates to the approved transaction, milestones and authority levels. A postponed offering, changed board, revised structure or expanded workstream can alter the support position and the commercial budget. Maintain a change register and obtain any necessary scheme clarification before relying on a revised item.
Reconcile invoices to mandates and evidence that the work was completed. Prevent double counting where one supplier invoice spans several workstreams. Preserve credit notes, aborted work and unused retainers, because the final cost record must explain the actual cash outcome.
Report the listing decision separately from the grant
Give the board one paper showing full listing economics, a separate conditional support schedule and the cash-flow gap. Record the decision criteria for proceeding, pausing or changing route. After listing, reconcile the public event, final invoices, any approved grant and actual receipt without implying that grant support validated the investment proposition.
Turn the decision into a controlled file
Use a dated decision record that identifies the applicant, business need, current official source, chosen route, responsible owner, costs, milestones and evidence. Separate facts already verified from forecasts and assumptions. A catalogue listing, supplier statement, consultant recommendation or portal acknowledgement does not establish approval. The company remains responsible for its declarations and commercial decision.
Give each quotation, contract, invoice, payment and deliverable a stable reference. Preserve earlier versions and explain material changes instead of silently replacing them. Where the authority, tax adviser, auditor or another professional must decide a point, record the open question and obtain the required view. Do not convert uncertainty into a confident eligibility statement.
Review before commitment and again before closeout
Run four reviews: suitability, authority, implementation and closeout. At suitability, test the entity, activity and business outcome. Before commitment, freeze the proposed scope, vendor and financial assumptions. During implementation, compare actual work with approved terms. At closeout, reconcile deliverables, accepted results, invoices, full payment, operating evidence and obligations that continue.
Name the person who may approve each stage and the records that person must see. Procurement should not treat a draft application as permission to contract. A project team should not treat supplier completion as company acceptance. Finance should not treat a submitted claim as cash received. Clear status words prevent accidental commitments and weak reporting.
Handle exceptions without rewriting history
Maintain an exception log for changed facts, delayed milestones, supplier variations, cost movements, missing records and failed tests. State the effect on scope, eligibility, timing and expected value. If an authority decision or formal variation is required, use the published route before relying on the change. Silence and helpdesk receipt are not approval.
If a material defect appears, pause the affected acceptance, filing or claim item. Keep original evidence, assign corrective action and set a review date. Do not backdate records, move costs between categories or adjust a baseline after seeing the result. A candid exception with an owned resolution is more credible than a clean-looking file that cannot explain what happened.
Plan handovers before the original project team disperses. The handover should identify the current version, source locations, system access owner, next review date, open exceptions and any condition that continues after payment or filing. Restrict personal, financial and commercially sensitive records to authorised users, while giving each responsible owner enough information to perform the assigned control. Record the external event that should trigger an earlier review, such as a changed programme page, revised authority letter, supplier failure or material business change.
Verify the final outcome independently
Ask someone who did not prepare the final pack to compare the decision, current official source, approved terms, deliverables, payments and operating evidence. Recalculate totals and sample source records. The reviewer should be able to reproduce the conclusion without relying on the preparer’s memory. Record unresolved points with named owners and dates.
Use the Singapore business support decision guide for the wider decision and keep this article as the narrower operating guide. After submission, preserve the receipt and reconcile questions, adjustments and the final registered or paid outcome. Continue any reporting, retention, asset-use or other condition that survives closeout.
Practical review checklist
- Listing route documented
- Workstreams costed
- Zero-grant case funded
- Changes controlled
- Final invoices reconciled
The budget is decision-ready when the issuer can fund the full route, trace every provisional eligible cost to a mandate and invoice, and explain the final listing decision without relying on the maximum grant headline.
