VCC GST common costs: allocate invoices to sub-funds

Allocate VCC GST common costs across umbrella sub-funds with separate registration tests, invoice evidence, recovery treatment and review.

VCC GST common costs need a repeatable allocation from the umbrella invoice to the sub-funds that used the service. IRAS treats each sub-fund of an umbrella VCC as a separate person for GST purposes. Finance should therefore avoid posting every shared invoice to the umbrella without a documented sub-fund analysis.

Keep the GST persons separate

The IRAS guidance for the finance sector explains that each sub-fund of an umbrella VCC is regarded as a separate person for GST. GST registration liability and reverse-charge obligations are assessed separately. Start with a register of the umbrella, every sub-fund, GST status and applicable effective dates.

Do not use the umbrella’s registration number or recovery treatment for all sub-funds by default. Record launches, mergers, cessations and status changes. Reconcile the register with ACRA, fund administration and tax records before each return or remission statement is prepared.

Identify the real service recipient

Review the contract, invoice, service description and operating facts. Some costs benefit one sub-fund, some benefit a defined group, and others support the umbrella structure more broadly. Ask who requested the work, which portfolio or investors benefited and how the service was used.

Examples include audit, legal, administration, custody, valuation, technology and director costs. The invoice addressee does not settle the allocation when the underlying service concerns several sub-funds. Preserve the commercial analysis and avoid an allocation chosen only to maximise recovery.

Use alternative documentary evidence correctly

IRAS explains that where a tax invoice is addressed to an umbrella VCC for expenses attributable to a GST-registered sub-fund, an alternative document or statement may support the sub-fund’s claim. The document should reference the supplier tax invoice and state the portion of expense and GST attributable to the sub-fund.

Create the statement close to invoice processing. Include supplier, invoice number and date, description, total amount, allocation basis, sub-fund amount, GST amount, preparer and reviewer. Attach the original invoice. Do not edit the supplier’s document or generate a replacement that obscures the original addressee.

Choose an allocation basis

Directly attribute costs where records allow it. For genuine common costs, choose a driver linked to consumption or benefit, such as assets under management, transaction volume, investor count, staff time or equal allocation when the service is truly uniform. Explain why the driver fits the service.

Review the basis when new sub-funds launch, assets change materially or service scope changes. Keep source data and calculations. A policy may be consistent from month to month, but consistency does not make an outdated driver reasonable.

Assess recovery or remission by sub-fund

Qualifying funds and VCC sub-funds may use the applicable GST remission or normal input-tax rules, subject to current conditions. IRAS currently publishes a fixed recovery-rate regime through 31 December 2029 for qualifying funds. Confirm the precise conditions, rate and period before making a claim.

Separate claimable, blocked and outside-scope amounts. Apply the relevant status of the sub-fund receiving the cost, not an average for the umbrella. Where a cost supports taxable, exempt and other activities, retain the basis for the treatment and any required adjustment.

Control imported services and reverse charge

Assess reverse charge separately for each sub-fund. Identify overseas suppliers, imported service value, place of belonging and the sub-fund that consumes the service. An umbrella payment process does not merge the underlying GST persons.

Reconcile accounts payable, fund administration and tax schedules so overseas invoices are not missed or counted twice. Obtain advice for complex management, advisory, custody or technology arrangements. Record judgement and source documents in the same allocation file.

Prepare quarterly remission statements

IRAS requires qualifying funds using the remission to submit prescribed quarterly statements within one month after the end of the quarter. Build a calendar by sub-fund, with preparer, reviewer, source cut-off and submission evidence. A nil or low-activity quarter still needs a documented assessment of the obligation.

Compare quarterly allocations with the general ledger, administrator reports and annual accounts. Investigate late invoices and credit notes. The umbrella VCC Form C guide explains the separate income-tax computations needed for umbrella sub-funds, which should reconcile to the same legal and accounting population.

Keep governance and audit evidence

Approve the allocation policy at the appropriate VCC or manager level and identify conflicts where a basis moves cost between investors or sub-funds. Review exceptions and material manual journals. Give the administrator and tax adviser the same current policy and entity register.

The Singapore VCC launch-readiness guide remains the funds and family-office cornerstone. A strong VCC GST file connects entity status, original invoice, allocation statement, recovery treatment, return or remission statement and ledger posting for every material common cost.

Allocate each common invoice according to the service actually received, preserve the umbrella invoice and sub-fund statement, and apply GST treatment at the correct sub-fund. That chain protects both tax reporting and fair cost allocation between investors.

Test the policy with worked invoices

Select one directly attributable invoice, one common domestic invoice and one imported service. Ask the administrator to apply the policy from original document to ledger and GST schedule. Review whether the chosen sub-fund, allocation driver, tax amount and documentary statement can be understood without oral explanation.

Correct unclear fields before processing the wider population. Repeat the exercise when a new sub-fund launches or service arrangement changes. Include the result in the reviewer’s annual training record. A worked example is not a substitute for judgement, but it reveals gaps in entity data and instructions before they affect a quarterly submission.
