Finance and Treasury Centre: build a Singapore substance file

Build a Finance and Treasury Centre substance file covering Singapore professionals, expenditure, treasury control and approved network companies.

A Finance and Treasury Centre application needs more than a tax model. EDB’s current factsheet focuses on real treasury activities, Singapore-based professionals, business expenditure and the depth of operations. The working file should show how decisions and risk management will actually sit in Singapore.

Start from the current FTC terms

The EDB Finance and Treasury Centre factsheet, version 4.0, describes five-year awards and concessionary tax rates of 8% or 10% on qualifying income. It also describes withholding-tax exemptions for specified borrowing payments connected with qualifying services and activities.

The factsheet is for discussion and says final approval rests with the relevant authorities. Model the proposed operation against the current law, regulations and Letter of Award rather than treating the headline rate as an entitlement.

Map treasury decisions to Singapore

List cash and liquidity management, funding, foreign-exchange and interest-rate risk, credit control, corporate finance advice, investment research and business planning. For each activity, name the Singapore decision owner, approval limit, system and evidence created.

A local employee forwarding group instructions is not the same as controlling a treasury function. Show which policies are set here, which transactions require Singapore approval and how exceptions are monitored. Minutes, dealing records and risk reports should tell a consistent story.

Plan the professional team

For a first award, the current factsheet states at least four Singapore-based FTC professionals for the 8% rate and at least three for the 10% rate by Year 1, maintained through the incentive period. It defines an employee as based in Singapore when the person is a Singapore tax resident.

Prepare role descriptions, reporting lines, hiring dates, remuneration and succession cover. Distinguish employees who work on qualifying FTC services and activities from general finance staff whose time is unrelated. Keep a method for allocating mixed roles.

Build the expenditure bridge

Both first-award routes in the current factsheet specify annual total business expenditure of at least S$1.5 million by Year 1. Its definition includes Singapore employee remuneration and other expenses paid to Singapore contracting parties, while excluding overseas expenses, capital investment, depreciation, raw materials, components and packaging.

Bridge the operating budget to those definitions. Label each cost by entity, location, counterparty and purpose. Use a conservative case that still supports the intended operating model, not a total assembled from costs that the definition excludes.

Control approved network companies

Qualifying services receive the incentive treatment only when provided to approved network companies. Build a legal-entity register with ownership or control basis, service type, agreement, effective date and EDB approval status.

The factsheet says approval should be sought before the proposed effective date of including a network company. Add new entities through a formal review. Do not apply the concessionary rate merely because an entity appears in a group chart.

Separate qualifying and other activity

EDB requires a separate account for non-qualifying activity. Design the chart of accounts, transfer-pricing approach and income-allocation method before the first reporting period. Reconcile transaction data to statutory accounts and tax computation.

The Singapore transfer-pricing cornerstone covers the wider transfer-pricing workflow. The FTC file should also document funding sources, counterparties and the basis on which each service or transaction falls within the qualifying definitions.

Prepare annual evidence from day one

The factsheet describes an annual progress update and, where required, an external auditor’s report. Build monthly headcount, expenditure, activity and approved-network-company schedules so year-end reporting is a reconciliation, not a reconstruction.

Use the foreign-owned Singapore business-support guide for the broader investment-incentive decision. A credible Finance and Treasury Centre substance file links people, decisions, spending, income and network companies to the actual Singapore operation throughout the award.

FTC substance is visible in recurring decisions and records. If management cannot trace who controlled liquidity, risk and funding from Singapore, a forecast headcount table will not repair the operating story.

Test the operating model with real scenarios

Walk through a funding request, foreign-exchange exposure, liquidity shortage and new network company. For each scenario, identify who analyses it, who decides, which Singapore professional is accountable and which system record proves the action.

Then test absence and escalation. The operation should not collapse when one senior employee is away, nor should all decisions quietly move overseas. Delegations, committees and group oversight need to match the substance described to EDB.

Update the substance map when a role, system or group structure changes. The best evidence is created through normal treasury work, not prepared only for the annual progress update.

Align legal agreements with actual work

Review treasury service agreements, loan documents, guarantees and mandates against the operating map. Agreements should identify the correct parties, services, pricing and decision rights. A broad agreement cannot substitute for evidence that the Singapore team performed the work.

For each approved network company, keep the agreement, service record, invoice or allocation, and approval status together. Reconcile the legal list with the accounting list periodically so a new entity is not included by habit.

Model changes during the five-year period

Test acquisitions, disposals, employee turnover, automation and a change in funding markets. Show how the centre would maintain its professionals, expenditure and activity depth. Identify the point at which management must consult EDB before changing the model.

A forecast should include downside cases and remediation ownership. Do not assume group growth automatically creates qualifying Singapore substance; the local team and its decisions still need to be evidenced.

Maintain a source register

List the current EDB factsheet, relevant regulations, approval correspondence, Letter of Award and tax advice used for each material position. Add review dates and an owner. The source register helps the team identify when a public update or award-specific condition requires a change.

Do not replace controlling documents with a presentation summary. Management papers can explain the model, but the underlying rules and award terms should remain accessible to the employees responsible for reporting and tax compliance.
