A founder role change record should align the legal office, actual duties, work-pass details, payroll authority and bank mandate before the new role begins. A board title can change quickly, but ACRA, MOM, finance and banking records follow different rules and timelines.
Use one dated change file with separate owners for each record. Do not assume that an ACRA filing updates a work pass, or that a board resolution automatically changes access at a bank.
Describe the old and new roles
Write the founder’s current and proposed roles in plain language. Separate shareholder, director, chief executive, employee, adviser and authorised signatory. State the effective date, employing entity, reporting line, fixed salary and main duties.
Record why the change is happening. A move from chief executive to non-executive director differs from a transfer to a related company or an expansion from technical founder to chief executive. The filing and work-pass consequences can differ.
Check regulated appointments and licence conditions before promising the effective date. A company title does not replace an individual approval required by a sector regulator.
Approve company authority first
Prepare the board and shareholder approvals required by the constitution, shareholders’ agreement and applicable law. Record the appointment, withdrawal, delegation, signing limit and access changes separately.
Confirm that the company retains at least one ordinarily resident director and an effective board. Update internal registers, minutes, organisation charts, contracts and conflicts records. Do not let an outgoing office holder continue to sign through old templates.

File reportable position-holder changes
The ACRA position-holder guide states that business entities must report appointments or withdrawals of relevant position holders within 14 days of the change. For a local company, these include directors, alternate directors, the secretary, chief executive officer and auditor.
Check whether endorsement is needed and whether a corporate service provider must file for a foreign appointee. Save the transaction acknowledgement and updated Business Profile.
Do not file a title that the company has not validly approved. Conversely, do not treat an internal announcement as a substitute for a reportable filing.
Create a dependency list before the filing starts. A bank may ask for the updated Business Profile, while payroll may need the approved effective date and MOM outcome. Sequencing these requests prevents one team from acting on an unapproved or stale record.
Review MOM records before duties change

An occupation update requires a request, and MOM states that the outcome is normally sent within three weeks. A transfer to a related company generally requires the related company to apply for a new Employment Pass, followed by cancellation of the current pass when employment ends.
Do not start materially different work while relying on a request that has not been resolved. Keep the approved change, updated pass record and actual job description together.
Align contract and payroll
Update the employment agreement, salary, benefits, leave, expense approval and payroll system from the lawful effective date. Separate salary from director fees, dividends and reimbursements.
Check who can approve the founder’s pay and expenses after the change. A founder should not approve a payment to himself or herself where company policy or the board requires independent approval.
Reconcile the first payroll after the change. Keep the calculation and any partial-month treatment with the change file.
Update bank mandates and payment controls
Read each bank mandate and facility agreement. Identify accounts, cards, loans, trade facilities, custody access and payment platforms affected by the founder’s appointment, withdrawal or change in authority.
Give the bank the documents it requests, such as resolutions, identification and updated company records. Do not send credentials or security tokens in the change file. Keep only the bank’s acknowledgement and approved authority details.
Remove obsolete approvers and test the new approval sequence with a low-risk transaction. Check dual-control limits, emergency access and the person who receives bank alerts.
Check customers, contracts and insurance
List contracts, licences, insurance policies and customer systems that name the founder or depend on the old authority. Some need notice, consent or a replacement contact. Others need no external action but still require an internal owner.
Review personal guarantees and key-person provisions with legal advisers. A job-title change does not remove a guarantee or transfer a contractual obligation automatically.
Update public information only after the legal and operating facts agree. Website biographies and email signatures should not lead the formal record.

Close the change with one readback
After the effective date, compare ACRA, MOM, payroll, bank and internal records. Record any item still pending and the temporary control. Do not mark the change complete because one portal shows the new title.
