A foreign-founder Singapore work-permission record should separate five facts: share ownership, director appointment, local residence, visits and actual work. Incorporating a company or becoming a director does not automatically give a foreign founder permission to live or work in Singapore.
The company should settle this boundary before the founder relocates, starts payroll, signs an employment contract or performs regular operating duties here.
Record each role separately
List the founder’s proposed positions, such as shareholder, director, chief executive, employee, consultant or authorised bank signatory. For each role, state where the person will perform the work, how often, who pays them and what authority they exercise.
A shareholding is an ownership interest. A directorship is a company office with legal duties. An executive job is work. These positions may be held by one person, but they are not the same legal question.
Use the founder’s real activities rather than a convenient title. A person described as a non-executive director may still be managing staff, negotiating contracts and running operations from Singapore.
Meet the company-law director requirement
The ACRA company-officer requirements state that every company must have at least one director who meets the local residency requirement. The company can also appoint other directors, subject to the legal qualifications and its constitution.
Confirm the local director before registration and maintain continuity after registration. Do not assume that a foreign founder becomes locally resident because the company gives them a Singapore address or director title.
Keep each director’s consent, appointment date, residential-status evidence and board authority in the statutory file. Recheck the position when a pass, residence or appointment changes.
Review the constitution and any shareholder agreement for appointment, voting and reserved-matter rules. A valid appointment does not remove conflicts duties or give one director unlimited authority to bind the company.
Distinguish appointment from work
MOM’s FAQ on non-resident foreign directors says a foreigner who is not residing in Singapore, such as a Social Visit Pass holder, does not need an Employment Pass merely to be registered as a director.
That narrow answer should not be extended into permission to perform a continuing job in Singapore. MOM’s work-pass overview states that foreigners who intend to work in Singapore must have a valid pass before starting work.
Record which director actions will be performed from overseas and which activities will occur physically in Singapore. Obtain advice where the facts do not fit a clear published route.
Classify Singapore visits accurately
Prepare a travel-purpose note for each planned visit. Attending company meetings, meeting business partners or participating in a corporate retreat may be different from delivering services, directing daily operations or filling an employee role.
Keep invitations, agendas and travel dates where they help explain a genuine business visit. Do not create labels after the event to disguise work that already occurred.
If the activity may fall within a work-pass exemption, check the current eligible-activity conditions and notification rule before it begins. A Short-Term Visit Pass alone is not general work authorisation.
Select the route for the real job
Where the founder will work for the Singapore company, compare the actual role with current pass routes. An Employment Pass is for professional, managerial and executive work and requires the prevailing salary and COMPASS position unless an exemption applies. Do not reverse the analysis by choosing a pass label first and rewriting the job around it. The role description, reporting line, salary, company activity and business plan must be internally consistent.
Set a no-start date control. The founder should not begin the Singapore work merely because an application was submitted or an in-principle approval is expected.
Align corporate, payroll and bank records
Compare the ACRA position, board resolutions, employment contract, payroll start date, tax record, work-pass application and bank mandate. A mismatch can create avoidable questions about who works for the company and when the role began.
If the founder is only a non-resident director, avoid creating routine local payroll or office-access records that tell a different story without explanation. If the founder becomes an employee, update the authority and remuneration records properly.
Record related-party fees and overseas service agreements separately. A foreign invoice does not change where work was actually performed.
Give payroll, HR, the company secretary and the bank the same effective dates. If approval remains pending, mark the proposed start clearly and prevent automated payroll or system access from activating early.

Recheck whenever the facts change
Review the record before relocation, a new employment contract, a longer stay, a secondary directorship or a material change in duties. A correct answer for an overseas board member may become wrong when that person starts managing the Singapore office.
Name one company owner for the review and one adviser for unclear cases. Keep the source date and written conclusion. Do not leave the decision with a travel arranger or payroll vendor.
