A Singapore company strike off requires no business, assets, liabilities, charges or unresolved proceedings, followed by ACRA review and gazette notices.
A Singapore company strike off is suitable only after the company has stopped business and has no assets, liabilities, registered charges, unresolved government matters, legal cases or regulatory proceedings. Filing the application does not close the company immediately. It remains live until ACRA completes the notice process and publishes the final gazette notification.
The directors should therefore complete the commercial, accounting, tax and records work before anyone makes the striking-off declaration in Bizfile.
Test every ACRA criterion
The current ACRA company striking-off guide says the company must have stopped trading or never started business. It must owe nothing to government agencies, have no loans recorded in the charge register, and have no legal cases in Singapore or overseas.
For this reason, the company must not be subject to ongoing or pending regulatory action or disciplinary proceedings. It must own nothing and owe nothing, including property, debts and potential future claims. All directors, or a majority of them, must agree to the strike off.
Create a signed criteria schedule with one row for each condition. Name the person who checked it, the evidence used and the check date. A declaration made without meeting the criteria can be investigated, so an unexplained tick is not enough for a doubtful item.
Check the live ACRA profile, charge register and Bizfile inbox. Obtain confirmations from finance, tax, legal, operations and the company secretary. Where the company operated overseas, ask the relevant local team or adviser about proceedings and liabilities there.
Reduce the balance sheet to zero
In practice, Close bank and payment accounts after all legitimate receipts and payments have cleared. Collect receivables, settle suppliers, repay shareholder and intercompany balances, terminate leases and subscriptions, and dispose of property under proper authority.
Do not distribute cash or assets informally. Directors should identify the legal basis, tax treatment and accounting entry for each final distribution or disposal. Keep approvals, contracts, invoices, bank evidence and the closing ledger.
Review contingent items such as guarantees, deposits, customer claims, warranties, employee disputes, unbilled services and indemnities. The absence of a booked amount does not prove that the company has no potential future claim or liability.
At the same time, aCRA asks companies to check outstanding tax credits. When a company is dissolved, remaining credits transfer to the Insolvency and Public Trustee’s Office, and recovery may involve processing costs. Reconcile the tax account before deciding the company is ready.
Clear corporate and government records
Update the registered office address and company email before filing. These details matter because ACRA may send striking-off letters to the company and its officers. Incorrect addresses can cause a failed process and a return to live status.
Resolve court summonses and government-agency issues. Check corporate income tax, GST, CPF, levies, licences and sector accounts that applied to the company. A nil accounting balance does not itself clear an agency issue.
As a result, a company may apply even if annual returns remain outstanding where all striking-off criteria are met and there is no court summons, according to ACRA’s current frequently asked questions. However, it should keep monitoring. If the application fails and the company remains live, its compliance duties continue.
Keep statutory registers, accounting records, tax records, employment files and transaction evidence for the applicable retention periods. Strike off changes the company’s status; it does not make historical records unnecessary.

A director or company secretary can file directly. A corporate service provider can file for the company and must ensure that the majority of directors consent. Prepare the UEN, cessation date and a concise reason for striking off.
For example, Where endorsements are required, the application lapses if the necessary directors do not endorse it within 14 days. Confirm who must act, how they will receive the notice and the internal deadline before submission.
Monitor the full notice period
ACRA states that the process takes at least three months after approval, depending on objections. During the review, the entity remains live. ACRA may issue letters, followed by the first gazette notification and a 60-day waiting period.
An interested party can object. If ACRA accepts an objection, the company should contact the objector and resolve the reason. An unresolved objection after the allowed period can cause the application to lapse.
In addition, the company is officially struck off only on the date stated in the final gazette notification. Until then, continue monitoring mail, Bizfile and compliance duties. Do not represent the company as dissolved merely because the application was approved.
A withdrawal can be filed through Bizfile before completion. Restoration after strike off generally requires a court order within six years. Those possibilities reinforce the need for a clear archive of the closure decision and final position.
